Terms of Service

Simple Earnie is a self-service software application designed strictly for invoice generation, record keeping, and payment tracking. Simple Earnie is NOT a certified accounting firm, financial advisor, or tax consultancy. You are solely responsible for ensuring the accuracy of all invoices, calculations, tax returns, VAT filings, and compliance with HMRC or relevant tax authorities in your jurisdiction.
1. Agreement to Terms
By accessing, registering for, or using Simple Earnie ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to all of these Terms, you must not use or access the Service.
2. Description of Service & Accounts
Simple Earnie provides web-based software allowing freelancers and independent contractors to manage business profiles, track work entries, generate invoices, connect bank transaction feeds, and manage client records.
- You must be at least 18 years old and capable of forming a binding contract.
- You must provide accurate, complete, and updated registration details.
- You are responsible for safeguarding your password and account security.
3. Subscription Tiers & Billing Terms
The Service is offered under two primary plans:
- Starter / Free Tier (£0/month): Includes 1 active company workspace, up to 5 clients, manual invoice creation, and PDF export.
- Pro Tier (£1.99/month or £15/year): Includes unlimited company workspaces, unlimited clients, automated payment tracking, bank feed sync, and custom branding.
Payments are processed securely via Stripe. Subscriptions renew automatically at the end of each billing cycle unless cancelled prior to the renewal date via your account settings. Payments are non-refundable except as required by statutory consumer rights.
4. Third-Party Integrations (TrueLayer & Stripe)
The Service integrates with third-party banking APIs (TrueLayer Ltd.) and payment processing networks (Stripe Inc.). Your use of bank feed features is subject to TrueLayer's Terms of Service and End-User Privacy Policy.
Simple Earnie is not responsible for third-party bank server outages, transaction delivery delays, connection disruptions, or payment processor errors.
5. Intellectual Property & User Content
- Your Content: You retain full ownership of all business data, client contacts, line items, and invoice documents uploaded or generated using the Service.
- Our Property: All software, design layouts, codebases, logos, mascot designs, and trademarks are the exclusive property of Simple Earnie.
6. Limitation of Liability (CRITICAL)
PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
IN NO EVENT SHALL SIMPLE EARNIE, ITS OPERATORS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, OR SAVINGS;
- INACCURATE TAX CALCULATIONS OR VAT FILING PENALTIES;
- LOSS OF BUSINESS DATA, CLIENT RECORDS, OR INVOICE PDFS;
- UNPAID INVOICES OR CLIENT DISPUTES ARISING FROM YOUR BUSINESS ACTIVITIES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) £100.00 GBP OR (B) THE TOTAL AMOUNT YOU PAID TO SIMPLE EARNIE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7. Indemnification
You agree to defend, indemnify, and hold harmless Simple Earnie and its officers against any third-party claims, damages, losses, or legal fees resulting from your misuse of the Service, breach of these Terms, or disputes with your clients regarding invoices issued through the platform.
8. Termination
We reserve the right to suspend or terminate your access to the Service at our sole discretion, without prior notice, if we believe you have violated these Terms or engaged in unlawful or fraudulent activity. You may cancel your account at any time from your settings panel.
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
